Objectives

Compliance can be defined as “all the processes to ensure the compliance of the behaviors of the company, its executives and employees with the legal and ethical standards that apply to them”. Its field of application is vast and varies depending on the company’s business sector. Specifically, compliance pertains to: respecting the laws, regulations, standards and professional customs applicable to the business sector; preserving the company’s image and reputation; preventing corruption, financial offences (market abuse and tax evasion) and environmental offences; preventing conflicts of interest; complying with competition rules; respecting best business practices (expense reports, donations, gifts, etc.); protecting personal data; protecting the company’s intellectual property rights; the company’s social and environmental responsibility; the company’s responsibility with respect to its partners (equal wages and working time, no child labor, safe work conditions, freedom of association, etc.). For several years, specifically as a result of plea bargains concluded between the U.S. Department of Justice and some French companies (Alcatel-Lucent, Alstom, BNP Paribas, Crédit Agricole, Total, Technip, etc.), French companies’ general managements are becoming more aware of the need to permanently set up and professionally organize compliance officer positions. In companies, there are already several hundred people in charge of compliance duties. All of them are trained lawyers. The extent of the questions raised and their range and significance justify implementing ad hoc training. Companies have indicated that it would be desirable to create a professional Master’s 2 in the long term because it would allow companies to best target their recruitment. At the same time, these companies have shown a need for allowing their employees in charge of compliance duties to follow high-level training offered by a reputable university.

This is the purpose of this university degree. Its objective is to train students for practicing compliance, which pre-supposes both:

  • knowledge of legal and ethical standards, both “hard” and “soft”, national and international law;
  • expertise in management techniques (cartography of risks, implementation and auditing of procedures, inhouse audits, inhouse investigations, etc.) , IT (data science, personal data protection, etc.) and communications (corporate culture, crisis management, etc.) techniques.

Anti-Corruption, Monitoring, Data Protection Compliance Certificate

Objectives

By the summer of 2017, companies will have to initiate both corruption prevention and monitoring plans and broaden extra-financial reporting. Indeed, the Sapin II Act of December 9, 2016, on anti-corruption, and the act pertaining to a monitoring duty of March 27, 2017, the European regulation on data protection of May 4, 2016, and the European directive on extra-financial reporting will have entered into force. These developments come within a very sensitive international context, notably through the OECD’s Guidelines for Multinational Companies and the United Nations’ Guiding Principles on Business and Human Rights. To this end, the Anti-Corruption, Monitoring and Data Protection Compliance Certificate’s objectives are to train participants in:

  • creating a cartography of risks and drafting a plan and compliance report
  • controlling the dialogue with stakeholders and the consequences on management and governance
  • managing a crisis in the case of prosecution for a breach of compliance
  • transforming these requirements into opportunities for companies and their staff
  • practicing the profession in this new regulatory environment
  • sensitizing all of the company’s staff to these new risks
  • (avoiding only posting, which is an aggravating circumstance)
